# TERMS OF SERVICE

Welcome to Zemparant. These Terms of Service (“Terms”) govern your access to and use of the websites, services, software, and applications provided by Zemparant (“Company”, “we”, “us”, or “our”). By accessing or using our services, you agree to be bound by these Terms.

### 1. Services Provided
Zemparant provides commercial digital infrastructure solutions, including but not limited to custom web and mobile application development, IT consulting, cyber security assessments, digital growth services, and ongoing technical support.

### 2. Fees, Billing, and Subscriptions
* **Billing:** Clients are billed via online invoices or recurring digital subscriptions as specified in individual service agreements.
* **Subscriptions:** If you purchase a recurring subscription, you authorize Zemparant to charge your designated payment method (e.g., credit card via Stripe) on a recurring basis until canceled.
* **Late Payments:** Failure to pay invoices or subscription fees on time may result in the immediate suspension or termination of services.

### 3. Refund and Cancellation Policy
* **Professional Services:** Due to the custom digital nature of our software development, IT consulting, and cyber security services, all payments made for milestone achievements or completed professional hours are non-refundable.
* **Digital Subscriptions:** Subscription services (including support packages and digital infrastructure) can be canceled at any time through your client portal. Cancellations will take effect at the end of the current billing cycle. No prorated refunds are issued for partial billing periods.

### 4. Intellectual Property
Unless otherwise agreed in a specific written contract, all intellectual property rights for custom software, designs, or frameworks developed prior to full payment remain the property of Zemparant. Upon full payment, the specific deliverables transfer to the client as outlined in the service agreement.

### 5. Limitation of Liability
To the maximum extent permitted by law, Zemparant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption arising out of or in connection with the use of our digital infrastructure or services.

### 6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
